CityCheers Venue Terms of Service Agreement(Required)

CITYCHEERS SUPER APP – VENUE TERMS OF SERVICE

By clicking “I Agree”, the Venue (“you”) accepts these Terms of Service governing your use of the CityCheers Super App, ConnectPortal, and ExpressCheck, provided by CityCheers Media Corporation (“CityCheers,” “CC,” “we,” “us”).

1. TERM

Month-to-month. Cancel anytime by giving written notice. Fee obligations for already-generated transactions remain due.

2. WHAT YOU GET FOR FREE

CityCheers provides your Venue with:
• A free, fully hosted App inside the CityCheers Super App
• ConnectPortal access (update content, Favorites, Virtual Chalkboards, send Alerts and more)
• Unlimited Dining & Entertainment Alerts
• ExpressCheck payments – some POS providers charge a monthly API fee
• Virtual Chalkboards
• Basic marketing collateral (signage, menu inserts, etc.; excessive orders may incur cost)
• Hosting Services, Security and Support

3. OPTIONAL SERVICES - NOT REQUIRED - CONTACT CITYCHEERS TO ACTIVATE THESE SERVICES

• Instant Gifting – Venue pays 5% fee; User receives full gift amount
• ExpressOrder – $0.75 per order (paid by patron)
• Managed Services – $165/mo. Free when Venue refers other venues to CityCheers - that activate ExpressCheck
• Jobline – free to Venue
• Champion Program – CC pays your designated Champion $0.25 per ExpressCheck transaction (first 3 months)

No Venue is required to activate any optional service.

4. LOYALTY REWARDS

Loyalty Rewards grow your Patron list fast, allowing you to send Dining & Entertainment Alerts to thousands of locals anytime—bringing them back more often, along with their friends.

• $5 Welcome Reward on patron’s first ExpressCheck payment
• $5 Loyalty Reward every 6th patron visit Typical Venue hard cost: ~$1.50 per reward (≈ $0.25 per visit)

Purpose: to drive repeat business and offset any concerns about the ExpressCheck fees.

5. EXPRESSCHECK FEES

• Patrons pay $0.75 per ExpressCheck transaction
• Fee is added to their tab and deposited into your bank account
• CityCheers then debits its fee via ACH twice monthly:
◦ 20th (transactions 1st–15th)
◦ 5th of next month (transactions 16th–end of month)

If ACH fails: $35 NSF fee per attempt; service may be suspended until paid.

6. DATA & PRIVACY

• Patron and Venue data are encrypted and not sold
• CityCheers owns user profile data; Venue may view it through ConnectPortal
• CityCheers may use/sell aggregated, non-identifiable purchasing/demographic data

7. YOUR CONTENT & LIABILITY

You are responsible for all content that is posted (menus, alerts, chalkboards, events, photos, promos).

Venue agrees to defend and indemnify CityCheers from any claims related to:
• Venue content
• Venue messaging
• Expired/inaccurate information (including content CC updated under Managed Services)

CityCheers makes no warranties and is not liable for indirect, punitive, or consequential damages.

8. RULES & RESTRICTIONS

Venue agrees not to:
• Reverse engineer or misuse the CityCheers system
• Misuse trademarks or copyrighted material
• Use the app for illegal/unlawful activity
• Share non-public terms or system details

CityCheers may suspend or terminate access for:

• Abuse
• Non-payment
• Fraud
• Misuse

9. TAXES

You are responsible for determining and paying any tax obligations related to your transactions or use of the Service.

10. CHANGES & DISPUTES

• CityCheers may update these Terms; updates will be posted in the ConnectPortal
• Any disputes will be resolved exclusively through JAMS – Dallas, Texas
• Certain obligations survive termination (fees, data rights, indemnification, confidentiality)
